Carrier Select Telecoms Terms and Conditions
These Terms and Conditions govern the supply of connectivity, voice and managed IT services by Carrier Select Telecoms (Pty) Ltd (“CST”) to the Client.
By using our services, requesting installation, accepting a quotation or proposal or signing a service agreement, you agree to these Terms.
1. Definitions
In these Terms:
Agreement means these Terms together with any service schedules, annexures and accepted quotations or proposals.
Client means the person or entity receiving services from CST.
Services means all connectivity, voice, cloud and managed IT services supplied by CST.
Products means any hardware or products sold by CST to the Client.
Equipment means hardware or software supplied by CST for use during the Agreement that remains CST’s property unless purchased outright.
Effective Date means the date the Agreement becomes binding by signature, electronic acceptance or acceptance of a quotation or proposal.
Commencement Date means the date the Service goes live and is actively working.
Upstream Providers means network operators, carriers and vendors used by CST to deliver Services.
2. Scope of services
CST supplies Services and may also sell Products or provide Equipment as set out in the relevant quote, proposal or service schedule.
3. Term, renewal and termination
3.1 Initial term
Where a Service has an initial fixed term, it will be shown on the quote or service schedule.
3.2 Month to month renewal
After the initial term ends, the Service continues on a month to month basis unless either party gives written notice to terminate.
3.3 Cancellation notice requirements
A full calendar month’s written notice is required unless otherwise agreed in writing.
All cancellation requests must be sent to [email protected] and must include a signed cancellation letter on the Client’s official letterhead.
Verbal requests, WhatsApp messages or informal instructions are not accepted as valid cancellation notice.
3.4 Early termination
If the Client cancels during a fixed term, an early termination fee may apply. Unless otherwise stated in the quote or schedule, this fee may be equal to the remaining contract value for the balance of the term.
3.5 Amounts payable on termination
Termination does not remove the Client’s obligation to pay all fees and charges incurred up to the disconnection date and any applicable early termination fees and outstanding product amounts.
4. Services, service availability and maintenance
CST will provide Services with reasonable skill and care.
CST aims for high availability but services may be affected by scheduled maintenance, upstream provider outages, power failures, network faults and events beyond CST’s reasonable control.
Where reasonably possible, planned maintenance will be communicated in advance.
5. Fees, invoicing and payment
Invoices are issued monthly in arrears unless otherwise agreed in writing.
Payment is due within 7 days of invoice date unless otherwise agreed in writing.
All pricing excludes VAT unless stated otherwise.
Late payments may attract interest at the maximum rate permitted by law and may result in suspension of Services after reasonable notice.
Disputed amounts do not suspend payment of undisputed charges.
6. Equipment
Where CST supplies Equipment:
· Equipment remains CST’s property unless purchased outright.
· The Client may not tamper with, relocate or allow third parties to work on CST Equipment without written approval.
· The Client must keep Equipment safe and insured against loss, theft and damage.
· Equipment must be returned when Services end in good condition, fair wear and tear excepted.
· The Client may be charged replacement costs for loss or damage outside fair wear and tear.
7. Acceptable use, fair usage and security
The Client must comply with CST’s Acceptable Use Policy and Fair Usage Policy as updated from time to time.
CST may suspend Services immediately if there is abuse, spam, a network attack, a security breach or unlawful activity originating from the Client’s account or infrastructure.
8. Data protection and cybersecurity
CST applies reasonable safeguards. The Client remains responsible for its own cybersecurity including backups, access controls and password management unless CST has agreed in writing to provide specific managed security services.
CST processes personal information in line with POPIA. Our privacy policy is available on our website.
9. Pricing changes
CST may amend pricing or service terms on 30 days’ written notice.
Annual adjustments will not exceed 10% or CPI, whichever is greater, unless otherwise agreed in writing or where upstream or regulatory increases apply.
Continued use after notice takes effect is regarded as acceptance of the updated pricing or terms.
10. Limitation of liability
CST is not liable for indirect, consequential or special losses including loss of profit, revenue or data.
CST’s total direct liability is limited to the total fees paid by the Client in the 12 months immediately preceding the claim.
11. Dispute resolution
Disputes will first be addressed by negotiation. If unresolved, the matter will be referred to private mediation before litigation. Either party may seek urgent relief where appropriate.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of any competent court within South Africa in respect of any action or proceedings arising from this Agreement.

Acceptance and Signature
By signing below, accepting electronically or approving any Carrier Select service agreement, proposal or quotation, whether in hard copy or soft copy, the Client confirms that they have read, understood and agreed to the Carrier Select Terms of Service available on the CST website and attached to this agreement.
